Terms of Service

Please read these Terms of Service carefully before using Clara. By using the Service, you agree to these terms.

1. Acceptance of Terms

By accessing or using Clara, you agree to be bound by these Terms of Service. If you are using Clara on behalf of a business, you represent that you have authority to bind that business.

These Terms apply to all users of Clara, including businesses, their team members, and any callers whose data is processed through the platform.

2. Description of Service

Clara is an AI voice agent platform that enables businesses to deploy AI-powered phone receptionists. The Service includes:

- AI voice agent configuration and management - Inbound call handling via phone numbers provisioned through Twilio - Lead capture, storage, and dashboard management - Integrations with third-party services (calendars, CRMs) - Billing and usage analytics

The Service is provided on a subscription basis with metered usage components.

3. Account & Eligibility

You must be at least 18 years old to use Clara. You are responsible for maintaining the security of your account credentials. You must promptly notify us of any unauthorized access.

Each account is associated with one workspace (tenant). Team members may be invited with different permission levels. The account owner is responsible for all activity within the workspace.

4. Acceptable Use

You agree NOT to use Clara to:

- Make or facilitate illegal, harassing, or fraudulent calls - Impersonate individuals or organizations without authorization - Collect data from callers without appropriate consent disclosures - Transmit malware, spam, or unsolicited messages - Circumvent call recording consent laws in applicable jurisdictions - Violate any telemarketing regulations (TCPA, CRTC CASL, etc.)

You are responsible for ensuring your use of Clara complies with all applicable laws in your jurisdiction, including those governing automated calls, call recording disclosure, and data collection.

5. Call Recording & Consent

Call recording is a feature of Clara. You are solely responsible for ensuring that call recording complies with applicable laws.

Many jurisdictions require that callers be notified when a call is being recorded. Clara allows you to configure your agent's greeting to include such notification. You must ensure your agent's greeting is compliant with local requirements before going live.

Barking Code is not liable for your failure to obtain proper consent from callers.

6. Payment & Billing

Clara is billed on a subscription basis. By providing a payment method, you authorize us to charge:

- A recurring monthly base fee (per your selected plan) at the start of each billing cycle - Metered usage charges (per minute) at the end of each billing cycle - Any applicable add-on fees

All payments are processed by Stripe. Prices are listed in USD unless otherwise noted. Taxes may apply depending on your location.

Refunds: We do not offer refunds for partial months. If you cancel mid-cycle, your subscription remains active until the end of the paid period.

Failed payments: If a payment fails, we will retry up to 3 times over 7 days. If payment is not recovered, your account will be suspended.

7. Free Trial

New accounts receive a 14-day free trial with no credit card required. At the end of the trial, you must add a payment method to continue. If you do not add a payment method, your account will be deactivated and data retained for 30 days before permanent deletion.

8. Cancellation

You may cancel your subscription at any time from your Billing dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. Your data will be retained for 30 days after cancellation, after which it will be permanently deleted.

9. Intellectual Property

Clara and all related software, trademarks, and content are owned by Barking Code. You retain ownership of your data (leads, call logs, recordings, configurations). You grant Barking Code a limited license to process your data solely to provide the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARKING CODE SHALL NOT BE LIABLE FOR:

- Indirect, incidental, or consequential damages - Loss of profits, revenue, or business opportunities - Missed calls or service interruptions caused by third-party providers (ElevenLabs, Twilio, etc.) - Actions taken by your AI agent that you have configured

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Service Availability & SLAs

We target 99.5% monthly uptime for the Clara dashboard. This does not include scheduled maintenance, third-party provider outages (ElevenLabs, Twilio), or force majeure events.

Enterprise plans include custom SLA agreements. Standard plans have best-effort availability without guaranteed uptime SLAs.

12. Changes to Terms

We may update these Terms. We will notify you via email and an in-app notice at least 14 days before material changes take effect. Continued use of Clara after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Netherlands. Disputes shall be resolved in the courts of Amsterdam, Netherlands, unless otherwise required by local consumer protection law.
